Terms of Service & Master Services Agreement.
EFFECTIVE DATE: JANUARY 2026 | B2B CONTRACTUAL FRAMEWORK
By engaging Keithel Digital for web engineering, custom plugin development, platform migration, or technical SLAs, clients agree to the contractual terms outlined below. All formal projects are governed by detailed Scopes of Work (SOWs) and GST-compliant invoicing.
1. Engineering Scope & Deliverables
All web architecture, plugin engineering, and platform migration work is executed strictly according to an agreed-upon Statement of Work (SOW). Any requested features or modifications outside the signed SOW scope will be evaluated under a secondary Change Request protocol.
2. Code Ownership & IP Rights
Upon receipt of final clearance for invoice milestone payments, 100% full intellectual property and source code ownership of all custom themes, custom plugins, database schemas, and tailored React/Node.js applications transfers unconditionally to the client. Keithel Digital retains no proprietary vendor locks or restricted code access.
3. Payment Terms & GST Compliance
Keithel Digital operates as a registered Indian enterprise under GST regulations. Milestone billing follows structured payment schedules specified in project contracts:
Subject to applicable GST rate (18%) with tax credit details included on all tax invoices.
Invoiced in USD/EUR/GBP via wire transfer or accredited international payment gateways under export of services provisions.
4. Service Level Agreements (SLAs) & Support
Post-deployment technical support, core patching, uptime monitoring, and retainer hours are governed by optional monthly Service Level Agreements. SLAs guarantee priority developer response times (< 4h for critical outages, < 24h for standard requests).
5. Governing Law & Jurisdiction
These Terms of Service and any associated contracts shall be governed by and construed in accordance with the laws of India, under the exclusive jurisdiction of courts located in New Delhi, India.
